Terms of Service

1. Agreement

These Terms of Service ("Terms") are an agreement between you and Novara Intelligence LLC, a Wyoming limited liability company ("Novara Intelligence", "we", "us"). They govern your use of this website and of our software products, AudioNotes and MeetCoach (the "Services"). By creating an account or subscribing, you agree to these Terms. If you use the Services for an organization, you agree on its behalf.

2. Eligibility and accounts

You must be at least 18 years old to use the Services. You are responsible for keeping your login credentials secure and for all activity under your account.

3. Subscriptions and billing

• Plans and prices. Plans and prices are shown on our pricing section and on each product's website. All prices are in US dollars (USD) and exclude applicable taxes unless stated otherwise.
• Automatic renewal. Paid plans are billed in advance and renew automatically at the end of each billing period at the then-current price, until you cancel.
• Payment processing. Payments are handled by our third-party payment processor. By subscribing you authorize the charge to your payment method for each renewal.
• Free plans and trials. If a plan includes a free trial, the trial terms shown when you sign up apply. You will not be charged until the trial ends, and you can cancel before then to avoid any charge.
• Price changes. We will notify you by email at least 30 days before a price change takes effect on your subscription. The new price applies from your next renewal, and you can cancel before it does.
• Failed payments. If a payment fails, we may retry it and may suspend paid features until it succeeds.

4. Cancellation

You can cancel at any time from your account settings in the product, or by emailing contact@novara.solutions from the address on your account. Cancellation stops future renewals. You keep access to paid features until the end of the period you have already paid for.

5. Refunds

Payments are non-refundable except as described in our Refund and Cancellation Policy or where the law requires otherwise.

6. Your content

You own the audio, recordings, transcripts and other content you upload to or create with the Services ("Your Content"). You grant us a limited license to host, process and transmit Your Content only as needed to provide the Services to you. You are responsible for having the rights to Your Content and, where the law requires it, for obtaining the consent of everyone you record before recording them.

7. Acceptable use

You agree not to use the Services to break the law, to record people unlawfully, to infringe anyone's rights, to harass or harm others, to distribute malware, or to interfere with or attempt to gain unauthorized access to the Services.

8. AI-generated output

The Services use artificial intelligence to generate transcripts, summaries, suggestions and similar output. AI output can be inaccurate or incomplete. Review it before relying on it, and do not use it as a substitute for professional advice.

9. Our intellectual property

The Services, including their software and design, belong to us and our licensors. These Terms do not grant you any rights in them beyond the right to use the Services while your account is in good standing.

10. Disclaimer of warranties

The Services are provided "as is" and "as available". To the fullest extent the law permits, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, and we do not promise that the Services will be uninterrupted or error-free.

11. Limitation of liability

To the fullest extent the law permits, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Services is limited to the amount you paid us in the 12 months before the claim arose.

12. Indemnification

You agree to indemnify us against claims arising from Your Content or from your breach of these Terms.

13. Suspension and termination

We may suspend or close accounts that violate these Terms. You may close your account at any time. Sections that by their nature should survive termination, including those on content, disclaimers and liability, will survive.

14. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Wyoming, unless the law of your place of residence gives you the right to bring a claim where you live.

15. Changes to these Terms

We may update these Terms. If a change is material, we will notify you by email or in the product before it takes effect. Continuing to use the Services after that means you accept the updated Terms.
